EyeTicket paid IriScan $1 million in the form of $250,000 cash and $750,000 promissory note. They also delivered common stock to IriScan.

EyeTicket claims IriScan was offering to sell iris recognition systems for airline passenger boarding applications which were in violation of their agreement. American Airlines expressed interest in the technology but said they will purchase their equipment from Sen-sar.

EyeTicket says they protested to IriScan, but IriScan took no action.

The company immediately notified IriScan president, John Siedlarz. Mr. Siedlarz agreed that such advertisements were improper and committed to have them removed. Despite the company’s repeated requests, the advertisements continued to appear on the Sensar web site.

EyeTicket also claims that representatives of Unisys Corp. met with them and showed substantial interest in developing airline passenger check-in and boarding applications. As part of its investigation, Unisys contacted IriScan and began direct discussions with them.

IriScan continues to provide the IriScan Technology to Sensar, Unisys and other companies who directly market their sys-tems in the Field of Use in direct violation of the Agreement, according to the com-plaint. During this time, Mr. Siedlarz was the President and Chief Executive Officer of IriScan and also served as a member of the Board of Directors of EyeTicket Corp. William Voltmer recently re-placed him as president.
